Jean-Christophe Martin is a Senior Advisor specializing in strategic transactions involving sensitive and regulated assets, with recognized expertise at the intersection of financial, regulatory, and sovereign considerations.
He advises investment funds, industrial groups, and M&A teams on transactions where successful execution depends on regulatory approval and alignment with government interests, particularly in critical sectors such as defense, aerospace, space, security, and sensitive technologies.
He is primarily involved in complex transactions characterized by significant regulatory and political exposure, including foreign investment control reviews, cross-border deals involving critical technologies or data, and acquisitions or disposals of strategic assets. His work focuses on ensuring transaction feasibility by integrating sovereign and regulatory constraints early in the deal process.
Jean-Christophe Martin works closely with transaction teams to assess and anticipate government-related risks, structure transactions to ensure regulatory acceptability, and design effective engagement strategies with relevant authorities. He also supports the anticipation of potential conditions, commitments, or restrictions, and contributes to securing execution through to closing. His involvement directly impacts deal certainty, timing, and value preservation.
He has been involved in several landmark transactions, including the sale of Alcatel Submarine Networks by Nokia to the French State (80%, €350 million), the disposal of Safran’s biometrics business (Morpho/IDEMIA) to Advent (€2.4 billion), and the sale of Leroy-Somer by Emerson to Nidec ($1.2 billion). He has also advised investment funds on mid-cap transactions in sensitive environments, including Avisa Partners / Forward Global and Qosmos / Enea.
Prior to his advisory roles, Jean-Christophe Martin held senior positions within key French and European institutions. He served within the French Prime Minister’s Office, the Ministry of Economy and Finance, the Ministry of Armed Forces (DGA), and the European Commission, where he spent eight years. In these roles, he was directly involved in more than 150 foreign investment control cases across strategic sectors, developing an in-depth understanding of public decision-making processes and institutional dynamics.
This combination of public sector experience and transaction advisory provides him with a unique ability to interpret regulatory expectations, anticipate potential challenges, and align stakeholder interests in complex environments. He offers investors and corporates a strategic perspective on sovereign and regulatory issues that is critical to the successful execution of sensitive transactions.
Jean-Christophe Martin is a Chief Armament Engineer and holds degrees from ENSTA, INPG, ESCP Business School, and Paris II Panthéon-Assas University. He is a Knight of the French National Order of Merit.
